1. Agreement to Terms

By accessing the digital properties of the Studio or engaging our firm for consultation and contracting services, you enter into a legally binding agreement to adhere to these Terms & Conditions. These terms are constructed in accordance with applicable laws within our operational jurisdictions. If you disagree with any stipulation detailed herein, you are advised to cease usage of our platform and services immediately.

2. Scope of Consultations and Contracting

Initial digital inquiries, exploratory consultations, and preliminary walkthroughs do not constitute a formal architectural or construction contract. A binding relationship is only established upon the mutual signing of a customized, project-specific "Master Services Agreement" (MSA). The Studio reserves the right to decline project requests that fall outside our design expertise, geographic capabilities, or operational capacity.

3. Financial Stipulations

All project estimates provided prior to the MSA are provisional and subject to fluctuations in the cost of materials and services. Formal payment schedules, including non-refundable design retainers and progressive construction milestones, are explicitly detailed in the MSA. Late payments may incur interest or penalties as legally permitted. Additional costs due to client-requested changes will be agreed upon in writing prior to execution.

4. Timelines and Force Majeure

While the Studio operates with precision regarding project timelines, bespoke renovations are subject to unforeseen variables. The Studio is not liable for delays caused by "Force Majeure" events, including but not limited to supply chain disruptions, extreme weather conditions, labor disputes, or changes in municipal regulations. Timeline adjustments will be communicated promptly and collaboratively with the client.

5. Warranties and Liability Limitations

The Studio provides warranties as explicitly outlined in the final handover documentation, covering workmanship and structural elements. We do not assume liability for damages resulting from client misuse, unauthorized third-party modifications post-handover, or pre-existing conditions not disclosed prior to project commencement. The maximum aggregate liability of the Studio shall not exceed the total amount paid under the specific MSA.

6. Dispute Resolution

In the event of a dispute arising from these terms or the execution of services, both parties agree to pursue good-faith mediation prior to initiating formal litigation. If mediation is unsuccessful, binding arbitration will occur within the principal jurisdiction of the Studio, under the rules of a recognized and neutral arbitration body.

7. Intellectual Property

All architectural sketches, 3D renderings, and proprietary design layouts produced by the Studio remain the exclusive intellectual property of the Studio until full financial remittance is completed. The Studio may use non-identifiable project photography for portfolio and editorial purposes unless restricted by an executed NDA. Clients may not reproduce, distribute, or publicly display Studio designs without written permission.

8. Client Responsibilities

Clients are responsible for providing accurate information regarding property dimensions, existing conditions, and any applicable regulatory requirements. Failure to disclose critical information may impact project outcomes and timelines. Clients must ensure safe access to project sites for Studio personnel and subcontractors.

9. Modifications and Cancellations

Any modifications to the scope of work, materials, or design must be formally documented and approved through a written change order. Project cancellations initiated by the client may result in partial or full forfeiture of deposits and design fees, as detailed in the MSA. The Studio reserves the right to terminate engagement if terms are violated or project requirements exceed operational capabilities.

10. Confidentiality

All project discussions, documents, and designs are confidential. The Studio and clients are mutually obligated to maintain confidentiality regarding proprietary information, design concepts, and sensitive project details. Disclosure to third parties is only permitted when necessary for project execution or legally mandated.

11. Governing Law

These Terms & Conditions are governed by the laws applicable to the Studio’s operational jurisdiction. Clients agree that any legal proceedings or arbitration shall occur within the Studio’s principal jurisdiction unless otherwise agreed in writing.
